企業在面臨知?經濟的今日,為了延攬國際級專業人才及激勵整體士氣,員工分紅制度已成為不可或缺的辨法之一。員工分紅制度對於台灣高科技產業的蓬勃發展亦扮演著重大推手。員工分紅制度固然有其存在的必要性,且企業應考量不同用途採用相對應的員工分紅制度,應兼具獎勵員工過去努力之表現及激勵員工未來表現之效果。對於董事特?之差異做出適當的修正並於兩者間取得平衡,將員工分紅制度有效地運用才能發揮其應有的激勵效果,企業績效才能真正得以提升。本研究旨在探討董事會屬性之異同對於企業發放員工分紅制度與企業績效提升之關聯性。研究對象為2003年至2007年間台灣上市上櫃企業。研究方法係以普通最小平方法(OLS)做迴歸分析。實證結果為:(1) 企業執行員工分紅制度對於會計績效及市場績效皆有顯著提升;(2) 董事會規模越大的企業執行員工分紅制度將有助於企業之市場績效的提升;董事會獨立性越高的企業執行員工分紅制度有助於企業之會計績效及市場績效的提升;企業於董事長兼任總經理的管理下,執行員工分紅制度有助於企業之會計績效的提升但於市場績效上卻不增反減;機構投資人席次越高的企業執行員工分紅制度會降低企業之會計績效及市場績效。 In the age of knowledge economy, an employee profit-sharing plan is one of the indispensable ways for a corporation to recruit international level professionals and boost morale. An employee profit-sharing plan also plays an important role to promote the vigorous development of high-tech industry in Taiwan. An employee profit-sharing plan is necessary, but a corporation shall consider corresponding employee profit-sharing plans for different usages. An employee profit-sharing plan shall be able to reward the employee's performance for his (her) hard work in the past and encourage him (her) to do better in the future. An employee profit-sharing plan shall be adjusted according to the different characteristics of the board of directors. A balance between both the employee profit-sharing plans and the board of directors shall be found so as to be operated more effectively and corporate performance can really be promoted.This study aims to explore the relationship between different attributes of the board of directors and an employee profit-sharing plans and promotion of corporate performance. The subjects are focused on listed companies in Taiwan during 2003 and 2007. The research methodology is regression analysis through OLS. The empirical results show: (1) The practice of an employee profit-sharing plans can significantly enhance accounting performance and market performance; (2) the practice of an employee profit-sharing plans in a corporation with a larger board of directors will help the promotion of its market performance; the practice of an employee profit-sharing plans in a corporation with a more independent board of directors will help promote its accounting performance and market performance; the practice of an employee profit-sharing plans in a corporation managed by the president serving as the general manager at the same time will help enhance its accounting performance, but its market performance declines; the practice of an employee profit-sharing plans in a corporation with more institutional investors will lower its accounting performance and market performance.
